How it works
Investment Structure
The investment uses a multi-layered Special Purpose Vehicle (SPV) to provide indirect exposure to the target company,
Investor Level:
Your investment is held in trust by an independent Nominee managed by an independent custodian
Nominee Entity Level:
The Nominee Entity pools investor funds to meet the minimum requirements to buy units in the underlying fund.
Fund Level
This partnership purchases shares of the target company from existing institutional and high-net-worth investors in the private secondary market
Target Company Level
The target company remains private; you do not have direct voting rights in it
Exit Strategy (IPO)
If the target company goes public, the partner will distribute tradeable shares to the Nominee Entity, which then distributes them to you. The Nominee Entity would then be closed

Trading
Investors can buy and sell shares of the Nominee Entity on the Catalist Wholesale Market. We hold quarterly trading windows with updated market data to give investors the best insights available on the value of their investment(s).
Frequency:
Trading is conducted during quarterly auctions rather than continuous trading with price guidance from the manager on current market value(s).
Transaction Cost:
For any buying or selling, investors are charged a trading fee which is deducted from innvestment amount.
Fee Amount:
This is currently the larger of $30 or 0.25% of the value traded and payable to Catalist.
Direct Sales:
Investors have the right to sell their stake to a purchaser outside of the Catalist platform if they find a buyer themselves (p. 3). Conditions:
Fees may apply to register the off-market transfer, and the Nominee Entity may refuse registration during active secondary market trading periods

Management Team
The management team has strong finance and investment experience. Through Newbrook, they manage your investment until you sell it on the secondary market or the company undergoes a liquidity event. Catalist serves as an independent custodian, handling legal and compliance frameworks for the nominee entity.

Dave is passionate about the New Zealand SME ecosystem, particularly those who are looking to innovate. After a career with a major New Zealand bank, he founded Newbrook Consulting, a specialist capital advisory firm. Since founding the firm, he has helped to raise more than $150 million for New Zealand companies to help scale and grow. As an advocate for businesses and other capital markets initiatives, Dave aims to be a strong voice for the NZ business market to create a more prosperous future for hardworking kiwis. Originally from Scotland, he arrived in NZ chasing his Kiwi lass and now they raise their family in Canterbury
David Akers - General Manager
David Akers is a private markets investor and director with over 20 years of experience investing in, advising, and governing early-stage and growth-stage companies across technology, energy, aerospace, and resources. He has personally invested more than NZD $3 million into startup and private enterprise ventures and has supported companies raising more than USD $20 million of growth capital as a director and advisor. His focus is on identifying scalable businesses at early inflection points, guiding capital formation and governance, and positioning companies for structured liquidity outcomes.
