Notice of delisting and structure change

Following the shareholder resolution passed on 31 October 2025, the Goldie business is being restructured.

Investors will continue to be able to buy and sell Gold and Silver through the Goldie app. However, this will no longer involve holding shares in Goldie Nominee Limited. As part of this change, Goldie Nominee Limited will be delisted from the Catalist Public Market, and you will no longer be able to track your investment on the Catalist platform. Catalist’s oversight and the Catalist Public Market rules will no longer apply to this investment.

Existing investors should refer to communications from Goldie for further information about the transition to the new investment structure and use the Goldie app to manage their investment.

You will continue to see any Gold Shares and Silver Shares you hold in your Catalist dashboard while you remain the owner of those shares. These shares are expected to be redeemed or cancelled as part of the transition. Once this occurs, they will no longer appear in your dashboard.

Why we do it

Real high value assets are outside the reach of everyday investors

Investing can be complex and high risk without specific industry knowledge, and there is a lack of information when it comes to real assets, this creates a barrier for everyday investors who want to participate.

The Goldie team believe that every day investors should have the same access to high value assets and collectables as wealthy individuals and institutional investors. This belief has driven the innovation behind Goldie, and the development of a first of its kind fractional asset trading platform that enables investors to invest in real assets at a fair price.

Through fractionalisation and automated trading technology Goldie aims to improve access to investment in real assets for everyday investors.

The following information describes the original investment structure. We are no longer accepting new investment through this structure. Please refer to the Goldie app or contact Goldie customer support for information about their new investment structure.

How it works

Goldie Nominee Limited ensures every share is backed by physical bullion stored securely in New Zealand Vault’s depositories. Independent third-party audits guarantee that all shares are accounted for.

Here’s how it works:

  1. Ownership: Goldie Nominee Limited owns the physical bullion bars, divided into 10,000 shares per bar.

    • 1 Gold Share = 1 decigram of gold
    • 1 Silver Share = 1 decigram of silver
  2. Investing: Investors buy and sell shares on the Catalist Public Market at the live spot price of bullion.

  3. Security: All bullion is stored in monitored and insured facilities, ensuring your investment is protected.

Trades are processed daily, and all transactions are reflected in your Goldie account and your Catalist account. Ownership of shares is verified through the Catalist Public Market platform, providing transparency and security for every investor.

You may only buy and sell Gold and Silver Shares directly with Goldie Nominee Limited, for which you will need to a separate account on the Goldie app. The Gold and Silver Shares are listed on the Catalist Public Market. Transfers of Gold and Silver Shares are only complete when Goldie has executed your trades on your behalf through the Catalist Public Market.

Viewing your shares in your Catalist account

If you haven't opened a Catalist account yet, you can open a free account by clicking on the Join button in the top right-hand corner of this page. You will need to log in to your Catalist account and complete the ID verification form before you can view your Gold or Silver Shares. If you do not see your shares within one business day after completing the ID verification process, please submit the code "GOLDIE" in the "Claim access to a private market or existing financial products" section of your dashboard or contact Catalist at hello@catalist.co.nz.

The live spot prices to buy or sell Gold and Silver Shares are displayed in the Goldie website or app. The last traded price shown on the Catalist marketplace reflects the price of the most recently completed transaction, which is usually the last buy or sell transaction agreed by Goldie on the previous trading day.

Please read all the documentation, including the information memorandum, available in the Key documents section above before investing.

If you click on the button to invest/trade, you will be taken to a separate website, managed by Goldie, where you can place your orders to buy and sell Gold and Silver Shares. Catalist does not have responsibility for the content or operation of the Goldie website or app. Please check the website address you are dealing with ends in ".getgoldie.co.nz".

You do not need a Catalist account to buy the Gold or Silver Shares, however we recommend you set up and regularly check your Catalist account because your Catalist account will show your legal ownership of the Gold and Silver Shares. It may take up to one business day for Goldie to register your trades through the Catalist Public Market. After you trades are registered, you can check the records of Gold and Silver Shares in your Catalist account match the investments shown in the Goldie platform.

Update Shareholder Special Resolution Meeting

At the Special Meeting on 31 October 2025, shareholders of Goldie Nominee Limited unanimously approved special resolutions to transition to a new nominee structure, designed to make ownership clearer & simpler. This transition also includes the planned wind up of Goldie Nominee Limited once the transfer is complete & all required formalities have been met.

What was approved

  • Transition from share based holdings in Goldie Nominee Limited to direct beneficial ownership of metals via a new nominee company, Goldie Club Nominee Limited, with metals held on trust at NZ Vault
  • Adoption of a bare trust model to support the new nominee structure & future asset classes, including gold, silver & collectables for The Market.
  • Change in trading units from decigrams to one dollar increments, subject to completion of the new nominee structure.
  • Approval in principle of the brand evolution to The Goldie Club, on the basis investor protections remain at least equivalent under the new structure.
  • Wind up Goldie Nominee Limited once the transfer of holdings to Goldie Club Nominee Limited is complete & all legal, regulatory & operational requirements have been met.

Impact on investors

The intent of the approved changes is that investors move from holding shares in Goldie Nominee Limited to having direct beneficial ownership of metals held on trust for each investor by Goldie Club Nominee Limited, with metals continuing to be held at NZ Vault. Investor protections are intended to remain at least equivalent under the new structure, although Goldie Club Nominee Limited is not intended to be listed on the Catalist Public Market and the laws and regulations applicable to investments in shares will no longer be applicable.

Expected timing

Implementation is intended to begin w/c 12 January 2026 & will be completed as soon as the legal, regulatory & operational formalities can be implemented. The wind up of Goldie Nominee Limited will occur only when the transfer is complete and all requirements have been met.

Audited accounts

FY25 financial statements for Goldie Nominee Limited are not yet finalised. Given the intended wind up of Goldie Nominee Limited following completion of the transfer, an audit is not currently expected. This position may change.

Share transaction records on Catalist

We will continue to register share transaction records on the Catalist platform while Goldie Nominee Limited remains listed. Some investors may experience delays in your transaction records being updated in Catalist. Our target is to have records updated by 31 January 2026, subject to processing. If you have invested and your shares are not showing in your Catalist account, please contact us at support@getgoldie.co.nz with your Catalist account details.
